Welcome to Happy Hours with Mary Lengle Live Q&A Session ("Happy Hours"). These Terms of Use govern your participation in and use of our monthly open office hours sessions. By registering for and participating in Happy Hours, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.

1. ACCEPTANCE OF TERMS

By accessing, registering for, or participating in Happy Hours, you agree to be bound by these Terms of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from registering for or participating in Happy Hours.

2. SESSION DETAILS

Happy Hours is a monthly open office hours session conducted by Mary Lengle where participants can join in real-time to ask business-related questions. The sessions are held via Zoom and are typically scheduled for the first Wednesday or Thursday of each month from 3:00 PM PST / 6:00 PM EST, though this schedule is subject to change.

3. REGISTRATION & PARTICIPATION

  • To participate in Happy Hours, you must register by providing your first name and email address through our registration form.
  • By registering, you agree to receive email notifications about upcoming Happy Hours sessions and related content.
  • Registration is free of charge.
  • You are responsible for maintaining the confidentiality of your Zoom access information.
  • You agree to provide accurate and complete information during the registration process.
  • The session will be conducted via Zoom, and a link will be sent to registered participants before each session.
  • Participation is voluntary, and you are responsible for ensuring a stable internet connection and appropriate equipment for video/audio participation.

4. RECORDING & CONTENT USAGE

All Happy Hours sessions are recorded in their entirety.

By participating in Happy Hours, you acknowledge and agree that:

  • The session will be recorded.
  • Your name, likeness, voice, questions, comments, and any information you share during the session may be captured in these recordings.
  • These recordings may be stored, edited, and repurposed for content creation.
  • Content from these recordings may be shared on various platforms including but not limited to Instagram, LinkedIn, YouTube, Facebook, and any other platform Mary Lengle deems appropriate.
  • Portions of the recordings may be transcribed and used for written content.

You grant Mary Lengle a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your questions, comments, and any information you share during Happy Hours in connection with Mary Lengle's business, including for promotional, educational, and commercial purposes.

If you do not wish to be recorded, you should turn off your camera and microphone or refrain from participating.

5. CONFIDENTIALITY & PRIVACY

  • While the session is designed to provide open discussion, participants should not share sensitive or proprietary business information.
  • Mary Lengle LLC does not guarantee the confidentiality of any discussions during the Session.
  • Your email and registration details will be stored securely and used to notify you about upcoming sessions and related content. You may unsubscribe at any time.

6. DISCLAIMERS

  • The Session is for informational and educational purposes only. Participation does not constitute a business partnership, consulting agreement, or client relationship.
  • Happy Hours sessions are provided on an "as is" and "as available" basis without any warranties of any kind.
  • Ā Mary Lengle does not warrant that:
    • The sessions will meet your specific requirements.
    • The sessions will be uninterrupted, timely, secure, or error-free.
    • The results obtained from participating in the sessions will be accurate or reliable.
    • The quality of any advice, information, or other material obtained through the sessions will meet your expectations.
  • Any advice or recommendations provided are general in nature and should not be considered professional, financial, legal, or business advice. You are solely responsible for any decisions or actions taken based on the discussion.
  • Mary Lengle LLC is not responsible for any outcomes resulting from the use of the information shared during the Session.

7. PARTICIPANT CODE OF CONDUCT
You agree to conduct yourself in a respectful and professional manner during Happy Hours.

You agree not to:

  • Disrupt the session or other participants.
  • Share inappropriate, offensive, or harmful content.
  • Violate any laws or regulations.
  • Infringe upon the rights of others.
  • Promote or advertise products or services without prior approval.
  • Share personal information of others without their consent.
  • Engage in any activity that could damage, disable, overburden, or impair the functioning of Happy Hours or related systems.

Mary Lengle reserves the right to remove any participant from a session who violates these conduct guidelines.

8. INTELLECTUAL PROPERTY RIGHTS

  • All content provided during Happy Hours, including but not limited to advice, strategies, frameworks, and methodologies, is the intellectual property of Mary Lengle or its licensors.
  • You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from Happy Hours without prior written consent from Mary Lengle, except for your own personal, non-commercial use.

9. LIMITATION OF LIABILITY

Mary Lengle shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your participation in Happy Hours or from your inability to participate in Happy Hours.

You agree to indemnify and hold harmless Mary Lengle and its affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your participation in Happy Hours, your violation of these Terms of Use, or your violation of any rights of another.

10. TECHNICAL REQUIREMENTS

You are responsible for ensuring that you have the necessary technical requirements to participate in Happy Hours, including but not limited to a stable internet connection, appropriate hardware, and the required software.

Mary Lengle is not responsible for any technical issues that may prevent you from participating in Happy Hours.

11. CANCELLATION AND CHANGES

Mary Lengle reserves the right to cancel or reschedule any Happy Hours session at her discretion.

Notice of cancellation or rescheduling will be provided via email to registered participants.

Mary Lengle reserves the right to modify the format, content, or structure of Happy Hours at any time.

12. PRIVACY POLICY

Mary Lengle collects and processes personal data in accordance with applicable privacy laws.

By registering for Happy Hours, you consent to the collection and processing of your personal data as described in our Privacy Policy.

Your email address will be used to send notifications about upcoming Happy Hours sessions and related content.

You may unsubscribe from these notifications at any time by following the unsubscribe instructions included in each email.

13. GOVERNING LAW

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

14. MODIFICATIONS TO TERMSĀ 

Mary Lengle reserves the right to modify these Terms of Use at any time. Updated Terms of Use will be posted on the Happy Hours registration page. Your continued participation in Happy Hours after any such changes constitutes your acceptance of the new Terms of Use.

15. SEVERABILITY

If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect and enforceable.

16. ENTIRE AGREEMENT

These Terms of Use constitute the entire agreement between you and Mary Lengle regarding Happy Hours and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

By registering for Happy Hours, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
